Portal Terms

By scanning an Evergreen Certified QR code or accessing the Evergreen Certified Verification Portal, you agree to these Terms. If you do not agree, please do not use the Portal.

1. About These Terms

These End User / Verification Portal Terms ("Portal Terms") govern your access to and use of the Evergreen Certified Verification Portal ("Portal"), the web-based experience you reach when you scan an Evergreen Certified QR code on a product. The Portal is operated by Evergreen Exchange Enterprises, LLC ("The Evergreen Exchange," "we," "us," or "our").

These Portal Terms apply to all end users who access the Portal, whether or not you create an optional account. They do not govern the relationship between The Evergreen Exchange and the business brand whose product you are scanning, that relationship is governed separately by the Evergreen Terms of Service.

By scanning an Evergreen Certified QR code or otherwise accessing the Portal, you indicate your agreement to these Portal Terms. If you do not agree, do not access or use the Portal.

2. What the Verification Portal Does

The Portal displays information associated with a specific Evergreen Certified label, including:

Product authentication status — whether the scanned label is recognized as a valid, active Evergreen Certified label;
Verification Records — a tamper-evident record of label issuance, product identity, and offset allocation, recorded in The Evergreen Exchange's systems and periodically anchored to the Bitcoin blockchain as described in the Blockchain Disclosure below;
Product Claims —ingredient disclosures, certifications, origin statements, or other information submitted by the brand that owns the product;Product Claims — ingredient disclosures, certifications, origin statements, or other information submitted by the brand that owns the product;
Sustainability Claims — product-level carbon footprint and offset data sourced, calculated, and provided by The Evergreen Exchange based on supply-chain data submitted by the brand; and
Engagement content — brand-configured messaging, video, and supporting documentation.

Important Limitation on Claims. The Portal displays two categories of claims. Product Claims, such as ingredient disclosures, certifications, and origin statements, are submitted by the brand ("Client") that applied the Evergreen Certified label. The Evergreen Exchange verifies that the label and associated Verification Record are authentic but does not independently audit, certify, or guarantee the accuracy of those Client-submitted claims. Sustainability Claims, including product-level carbon footprint and offset data, are sourced, calculated, and provided by The Evergreen Exchange using its own methodology and infrastructure, based on supply-chain data submitted by the Client. The Evergreen Exchange stands behind the methodology and calculations it applies; the Client remains responsible for the accuracy of the underlying supply-chain inputs. You should evaluate all claims in light of any available third-party certifications referenced and your own due diligence.

3. Scan Data and Your Privacy

What We Collect When You Scan. When you scan an Evergreen Certified QR code and access the Portal, we automatically collect certain technical information, which may include: the label identifier (serial number or QR code ID) associated with the scanned product; the date, time, and geographic region of the scan (derived from IP address); device type, operating system, and browser type; and engagement data — which portal sections you viewed and how long you spent on them.

How We Use Scan Data. We use scan data to: generate aggregate analytics reports for the brand whose product you scanned, which may include anonymized session interaction recordings; maintain and improve the Portal and verification infrastructure; detect fraudulent or unauthorized label use; and operate the Evergreen Certified verification ecosystem. No individual user is identifiable in any data shared with the brand. We do not sell your scan data to third parties for advertising purposes.

Blockchain Disclosure

Scan events, including the label identifier, timestamp, and geographic region, are recorded in The Evergreen Exchange's system at the moment of scan and form part of the tamper-evident Verification Record for that product unit. Carbon offset allocations triggered by the first scan of a unique label code are committed immediately and are binding from that moment.Scan events — including the label identifier, timestamp, and approximate geographic region — are recorded in The Evergreen Exchange's system at the moment of scan. The label identifier and allocation trigger form the tamper-evident Verification Record for that product unit and are permanently retained. Scan timestamp, approximate geographic region, and associated server-side data are retained for fraud-prevention and verification-integrity purposes, subject to the retention and deletion schedule in The Evergreen Exchange's Privacy Policy. Carbon offset allocations triggered by the first scan of a unique label code are committed immediately and are binding from that moment.

Permanent anchoring of allocation records to the Bitcoin blockchain occurs when the relevant offset pool is formally closed by The Evergreen Exchange, a periodic process that occurs on a multi-month cycle. This blockchain anchoring is a long-term permanence mechanism, not a confirmation of your allocation, which is already complete. Once anchored, the record cannot be altered or deleted by any party. Where applicable, cryptographic hashes of claim documentation associated with the product, such as Certificates of Analysis, may also be recorded to the Bitcoin blockchain prior to label deployment, allowing independent verification of document integrity.

California Residents. If you are a California resident, you may have rights under the California Consumer Privacy Act (CCPA/CPRA) regarding your personal information, subject to the blockchain exception described above and in our Privacy Policy. To submit a request, contact us at privacy@theevergreenexchange.com.

4. Optional Accounts

Full account creation is not yet available on the Portal. At launch, users who are 13 years of age or older may optionally submit an email address to access offset tracking features, including a cumulative carbon offset total attributed to their product scans. By providing your email, you also agree that The Evergreen Exchange may send you communications related to your offset tracking and, from time to time, verified offers or announcements from brands whose Evergreen Certified products you have scanned. Every such communication will include a clear and easy method to opt out. Email opt-in is entirely voluntary and is not required to view verification results. Account features, including scan history, saved products, and loyalty or engagement programs, are planned for a future release. By submitting your email address, you confirm that you are 13 years of age or older. If you are under 13, please do not submit your email address.

5. Permitted Use and Restrictions

You may access the Portal for the purpose of verifying the authenticity of a product you have encountered or purchased, reviewing the associated Claims and information, and using any optional features made available through the Portal such as offset tracking and account services. You must not:

Attempt to access, copy, scrape, or harvest Portal content, Verification Records, or scan data by automated means;
Reverse engineer, decompile, or attempt to extract source code from the Portal or any Evergreen Certified system;
Use the Portal to facilitate fraud, deception, or any unlawful purpose;
Interfere with or disrupt the Portal, its servers, or any infrastructure supporting the verification ecosystem; or
Use Portal content, including brand Claims, product images, and Verification Records, for commercial purposes without the written permission of The Evergreen Exchange and the relevant brand.

6. Intellectual Property

The Portal, including its design, layout, code, trademarks, and content owned by The Evergreen Exchange, is the property of Evergreen Exchange Enterprises, LLC and is protected by applicable intellectual property laws. Product Claims, images, and brand content displayed on the Portal are the property of the respective brand and are displayed with their authorization.

Nothing in these Portal Terms grants you any ownership interest in the Portal, The Evergreen Exchange's trademarks or technology, or any brand's content. You may view, print, or share Portal content for personal, non-commercial purposes only.

7. Disclaimers

THE PORTAL AND ALL CONTENT DISPLAYED ON IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

Specifically:

We do not warrant that the Portal will be available at all times, error-free, or free from technical interruptions.
We do not independently verify the accuracy, completeness, or regulatory compliance of product claims submitted by brands. Sustainability claims displayed on the Portal are sourced and calculated by The Evergreen Exchange based on Client-supplied data; see our Sustainability Claims Disclaimer at theevergreenexchange.com/sustainability-disclaimer for details. A Verification Record confirms label authenticity. It does not constitute regulatory approval, safety certification, or endorsement by any governmental authority.
Scan data and Verification Records reflect the information available at the time of anchoring and may not reflect subsequent updates to product information.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE EVERGREEN EXCHANGE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PORTAL, INCLUDING DAMAGES FOR RELIANCE ON PRODUCT CLAIMS, OR LOSS OF DATA.

THE EVERGREEN EXCHANGE’S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM YOUR USE OF THE PORTAL SHALL NOT EXCEED ONE HUNDRED DOLLARS (USD $100.00).

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you in full.

9. Governing Law

These Portal Terms are governed by and construed in accordance with the laws of the State of South Carolina, without regard to conflict of law principles. Before initiating any legal proceeding, you agree to provide The Evergreen Exchange with written notice of your dispute at legal@theevergreenexchange.com and allow thirty (30) days for the parties to attempt informal resolution. Any dispute arising under these Portal Terms that cannot be resolved informally shall be brought exclusively in the state or federal courts located in Charleston, South Carolina.

10. Updates to These Terms

We may update these Portal Terms from time to time to reflect changes in our services, legal requirements, or operational practices. For material changes, we will update the Effective Date shown at the top of this page and provide notice on the Portal at least thirty (30) days before the change takes effect. For non-material changes, the updated Portal Terms take effect upon posting with a revised Effective Date.

Your continued use of the Portal after the updated Portal Terms are posted constitutes your acceptance of the revised terms. The current version of these Portal Terms is always available at theevergreenexchange.com/portal-terms.
